About

Charles Kaufman practices corporate, securities, and business transactional law in Los Angeles. He has over 20 years of experience representing public and private companies in a broad range of industries, including medical devices, healthcare, software, nanotechnology, film and music production, garment manufacturing, retailing, real estate investment, and semiconductors. He has extensive experience advising public companies on securities regulation and compliance and advising both new and established companies on public and private offerings of equity and debt securities, mergers and acquisitions, corporate governance, Sarbanes-Oxley and Dodd-Frank regulation, global compliance, conflicts and special committee concerns, internal investigations, listing and delisting, crisis management, and insolvency. His practice also includes international joint venturing and development agreements in addition to supply and distribution agreements, licensing agreements, and general corporate transactions. Charles has attended over two hundred public company board and committee meetings as board counsel.
Prior to joining Homeier Law PC, Charles served as Vice President, General Counsel, Corporate Compliance Officer and Corporate Secretary for STAAR Surgical Company, a multinational medical device company headquartered in Monrovia, California. While there, he took a leading role in a complete revamping of the company’s FDA compliance systems and served as securities counsel in over $60 million in public and private capital raising, in addition to a $75 million universal shelf registration.
Prior to STAAR Surgical Company, Charles was an associate at the Los Angeles office of Sheppard, Mullin, Richter & Hampton where his practice included advising numerous public companies on disclosure, corporate governance and securities law compliance, initial and secondary public offerings, going private transactions, reorganizations, and tender offers. He advised both public and private companies on mergers and acquisitions and equity compensation and advised newly formed enterprises on corporate organization and financing.
Prior to Sheppard Mullin, Charles was an associate in the Los Angeles office of Morrison & Foerster LLP. Transactions there included issuer and underwriter representation in public offerings, private placements (including venture and angel financing), and public and private mergers, acquisitions, and dispositions. He also advised 501(c)(3) corporations and other nonprofits on formation, conversion, and mergers and acquisitions.
Charles received his J.D. from UCLA School of Law and a B.A. in English from UCLA. He is a member of the State Bar of California.
